Campcruisers GmbH | Reditus Affiliate Partner Terms
These are the terms and conditions applicable to (affiliate) partner agreements concluded and/or performed through the Reditus SaaS partner management platform, located at www.getreditus.com (hereinafter: "Reditus"), between the online service provider Campcruisers GmbH, with its principal office located at Berliner Str. 21 B, D-14612 Falkensee, Federal Republic of Germany and registered with the Commercial Register in Potsdam under registration no. HRB 40180 P (hereinafter referred to as "SaaS Business") and Reditus users intending to provide the SaaS Business with referral services.
Article 1 โ Definitions
In these terms and conditions, the following definitions apply:
- Affiliate Partner: a Reditus user who has applied to the SaaS Business's partner program through Reditus and whose application has been accepted by the SaaS Business.
- Affiliate Partner Agreement: the agreement between the SaaS Business and the Affiliate Partner, consisting of these terms and conditions and the program details as specified in Annex 1.
- Commission: the fee payable by the SaaS Business to the Affiliate Partner for each Successful Referral, as specified in Annex 1.
- Referral Link: a unique tracking link provided to the Affiliate Partner through Reditus for the purpose of tracking referrals.
- Successful Referral: a referral that meets all conditions specified in Annex 1 and that has been validated by the SaaS Business.
- Cookie Duration: the period during which a referral cookie remains active after a potential customer clicks the Affiliate Partner's Referral Link, as specified in Annex 1.
- SaaS Product: the online software service offered by the SaaS Business, namely Biscotti CMP (Consent Management Platform).
Article 2 โ Scope and Formation
- These terms and conditions apply to all Affiliate Partner Agreements concluded through Reditus.
- The Affiliate Partner Agreement is formed upon acceptance of the Affiliate Partner's application by the SaaS Business through the Reditus platform.
- The SaaS Business reserves the right to reject any application without stating reasons.
- By applying, the Affiliate Partner confirms having read and accepted these terms and conditions.
Article 3 โ Obligations of the Affiliate Partner
- The Affiliate Partner shall promote the SaaS Product in a professional and lawful manner.
- The Affiliate Partner shall not make false, misleading, or deceptive claims about the SaaS Product.
- The Affiliate Partner shall not engage in spam, unsolicited communications, or any form of advertising that violates applicable laws, including but not limited to the GDPR, the German UWG (Unfair Competition Act), and the German TMG/TTDSG.
- The Affiliate Partner shall not bid on the SaaS Business's brand names or trademarks in paid search advertising (e.g., Google Ads) without prior written consent.
- The Affiliate Partner shall not use cookie stuffing, forced clicks, or any other fraudulent methods to generate referrals.
- The Affiliate Partner shall clearly disclose the affiliate relationship to their audience in accordance with applicable advertising disclosure laws.
- The Affiliate Partner is solely responsible for compliance with all applicable laws in their jurisdiction, including tax obligations.
Article 4 โ Commission and Payment
- The Commission structure is specified in Annex 1.
- Commissions are tracked and calculated through the Reditus platform.
- A referral is only considered a Successful Referral if the referred customer completes a paid subscription and the payment has been received by the SaaS Business.
- Commissions become payable after a minimum holding period of 30 days following the Successful Referral, to account for refunds and chargebacks.
- Payment is processed through Reditus according to their payment schedule and minimum payout thresholds.
- The Affiliate Partner is responsible for providing accurate payment information through Reditus.
- The SaaS Business reserves the right to withhold or reverse Commissions in case of fraud, chargebacks, or violations of these terms.
Article 5 โ Tracking and Attribution
- Referrals are tracked exclusively through the Reditus platform using Referral Links and cookies.
- The Cookie Duration is specified in Annex 1.
- Attribution follows a last-click model unless otherwise specified in Annex 1.
- The Affiliate Partner acknowledges that technical limitations (e.g., cookie blocking, browser privacy settings) may affect tracking accuracy.
- The SaaS Business's tracking data as recorded by Reditus shall be the sole basis for Commission calculations.
Article 6 โ Intellectual Property
- The SaaS Business grants the Affiliate Partner a limited, non-exclusive, revocable license to use the SaaS Business's name, logo, and marketing materials solely for the purpose of promoting the SaaS Product under this agreement.
- The Affiliate Partner shall not modify the SaaS Business's trademarks or marketing materials without prior written consent.
- All intellectual property rights in the SaaS Product and related materials remain with the SaaS Business.
- Upon termination of the Affiliate Partner Agreement, the Affiliate Partner shall immediately cease all use of the SaaS Business's intellectual property.
Article 7 โ Term and Termination
- The Affiliate Partner Agreement is concluded for an indefinite period.
- Either party may terminate the agreement at any time with 30 days' written notice through the Reditus platform or by email.
- The SaaS Business may terminate the agreement with immediate effect if the Affiliate Partner violates any provision of these terms and conditions.
- Upon termination, all pending validated Commissions shall be paid out according to the regular payment schedule.
- Referrals made after termination shall not be eligible for Commission.
Article 8 โ Liability
- The SaaS Business's liability is limited to the amount of Commissions earned by the Affiliate Partner in the 12 months preceding the event giving rise to liability.
- The SaaS Business shall not be liable for indirect, consequential, or incidental damages.
- The Affiliate Partner shall indemnify the SaaS Business against any claims arising from the Affiliate Partner's promotional activities or violations of applicable law.
- The limitations of liability in this article do not apply to damages caused by intent or gross negligence, or to liability that cannot be excluded under mandatory law (ยงยง 309 Nr. 7, 276 BGB).
Article 9 โ Data Protection
- Both parties shall comply with applicable data protection laws, including the GDPR.
- The SaaS Business processes the Affiliate Partner's personal data (name, email, payment information) for the purpose of administering the partner program. The legal basis is Art. 6(1)(b) GDPR (performance of contract).
- Referral tracking data is processed by Reditus as a data processor on behalf of the SaaS Business.
- The Affiliate Partner shall ensure that their promotional activities comply with applicable data protection laws, including obtaining necessary consents for cookies and tracking.
Article 10 โ Modifications
- The SaaS Business reserves the right to modify these terms and conditions at any time.
- Modifications shall be communicated to the Affiliate Partner through the Reditus platform or by email at least 30 days before they take effect.
- If the Affiliate Partner does not object to the modifications within 30 days of notification, the modifications shall be deemed accepted.
- If the Affiliate Partner objects, the SaaS Business may terminate the agreement with immediate effect.
Article 11 โ Final Provisions
- These terms and conditions are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- The exclusive place of jurisdiction for all disputes arising from or in connection with the Affiliate Partner Agreement is Potsdam, Germany, provided the Affiliate Partner is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law.
- If any provision of these terms and conditions is or becomes invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
- The Affiliate Partner may not assign or transfer rights or obligations under the Affiliate Partner Agreement without the prior written consent of the SaaS Business.
- No waiver of any provision of these terms shall be deemed a further or continuing waiver of such provision or any other provision.

Annex 2 โ Prohibited Promotional Methods
The following promotional methods are expressly prohibited:
- Cookie stuffing or cookie dropping
- Forced clicks or invisible iframes
- Bidding on brand terms ("Biscotti", "Biscotti CMP", "Campcruisers") in paid search without written permission
- Spam emails or unsolicited bulk messaging
- Misleading comparison websites that make false claims about competitors
- Incentivized clicks or sign-ups (e.g., "click here to unlock content")
- Typosquatting or domain squatting on variations of the SaaS Business's domain names
- Any method that violates the German UWG (Unfair Competition Act) or equivalent laws in the Affiliate Partner's jurisdiction
